GENERAL TERMS AND CONDITIONS OF SERVICE AND SALE OF CAFES VANHOVE SRL
(CAFES VANHOVE SRL - B.C.E.: 0401.569.112 - the "Company")
- APPLICATION OF GENERAL TERMS AND CONDITIONS - ENFORCEABILITY
1.1. Adherence - The customer acknowledges having read and accepted these general terms and conditions, which are appended to the quotation submitted
by the Company and are available on the Company's website via the link https://cafes-vanhove.be/conditions-dutilisation/ . Acceptance of the quotation,
whether express or tacit, in which express reference is made to these terms and conditions, implies irrevocable acceptance by the customer of these terms and conditions.
1.2. Scope of application - Unless otherwise expressly stipulated in writing by the Company, the present general terms and conditions apply to
offers and contracts for the provision of services, rentals and sales of products entered into as part of the Company's commercial activities.
1.3. Customer's general terms and conditions - The Company declines all conditions or stipulations appearing on documents issued by its customers or
principals. The present general terms and conditions apply exclusively, unless otherwise expressly stipulated in writing by the Company
in its order confirmation. Consequently, placing an order implies the customer's full acceptance of
these terms and conditions.
1.4. Modifications - The Company reserves the right to modify periodically, unilaterally and without prior notice the general terms and conditions of
services and sale, for example to adapt them to changes in legislation and regulations. - PURPOSE
2.1. Rental of furniture and services - the Company offers to make available to the customer, in return for payment of rent,
coffee machines, accessories to facilitate the consumption of coffee and other foodstuffs, for the period specified in the special conditions
(quotation or other) sent to and known by the customer. Unless otherwise specified in the special conditions, the Company installs the
furniture and/or accessories in the place where it will be displayed by the customer. The parties may extend the rental period by express written agreement
. Services are provided at the location indicated in the special conditions, unless otherwise expressly specified in writing.
2.2. Sales - The Company has been a Belgian master roaster since 1954, selling coffee, tea and other accessory products that enable or
facilitate the consumption of tea and coffee. The Company also offers, within the framework of a contractual relationship of indeterminate duration (unless
stipulated otherwise in the contract concluded with the customer), on a principal basis, the sale of coffee and tea (as well as other ancillary foodstuffs) and, on an ancillary
basis, the delivery of these products to the Customer's home (hereinafter, the "Subscription Formula"). - PRIX ET PAIEMENT
3.1. Offre – Seule une offre ferme adressée par la Société à un client désigné, engage la Société pendant une durée de 15 jours à dater de l’envoi de
l’offre, sauf délai plus long indiqué dans l’offre.
3.2. Commande – Toute commande, sauf si elle fait suite à une offre écrite de la Société, acceptée sans réserve ni modification par le client, n’engage
la Société qu’après acceptation écrite. Les contrats sont toujours réputés conclus au siège de la Société.
3.3. Parrainage – La Société organise un système de parrainage. Le Parrain est un Client existant de la Société. Le Filleul est un consommateur ou
une entreprise, distinct du Parrain qui n’a jamais loué de machines à café à la Société. Le Parrain obtiendra un bon de réduction d’une valeur de
100,00€ sur sa prochaine commande de café à condition de respecter les conditions cumulatives suivantes : (i) le Filleul conclut un contrat de location
de machines à café avec la Société sans avoir fait valoir son droit de rétractation endéans le délai imparti, (ii) le Parrain et son Filleul déclarent le
parrainage à la Société endéans un délai de 3 mois à dater de la signature du contrat de location et (iii) le Filleul achète, lors de sa première
commande, une quantité minimale de 5kg de café.
3.4. Prix – Sauf dans la Formule Abonnement, les services et les produits sont vendus aux prix en vigueur au moment de la commande tels
qu’indiqués dans les tarifs de la Société (disponibles au point de vente ou sur le site internet de la Société) ou dans les conditions particulières du
contrat conclu avec le client. En cas de conclusion d’un contrat sous la Formule Abonnement avec un client, les services et les produits sont vendus
aux prix en vigueur au moment de la livraison. Le client sera, dans ce dernier cas, régulièrement informé de l’évolution des prix des produits et des
services proposés par la Société.
Hormis si le client est Consommateur, les prix de la Société s’entendent HTVA et hors taxes, droits ou autres contributions indirectes qui seraient dues
en application de la législation belge ou étrangère.
3.5. Garantie – La Société pourra exiger le dépôt d’une garantie dont elle fixe le montant en fonction de la valeur du matériel loué. Ce montant devra
être versé à la Société ou sera bloqué via une carte de crédit lors de la remise du mobilier et/ou du matériel. La garantie sera reversée/débloquée au
profit du client en même temps qu’il restitue le mobilier et/ou le matériel loué dans le même état qu’il l’a reçu de la Société.
3.6. Paiement – Sauf stipulation écrite contraire, la totalité du prix de vente, de location et des services (ainsi que la garantie) est exigible lors de
l’émission et de l’envoi de la facture de la Société le jour qui précède l’installation du mobilier par la Société ou la livraison des produits vendus.
3.7. Retard de paiement d’un consommateur – toute facture adressée par la Société à un consommateur demeurée impayée, en tout ou en partie, sera
productive, dès l’échéance et dans un délai de 14 jours calendrier, prenant cours le 3 e jour ouvrable qui suit l’envoi d’un premier rappel de paiement
gratuit si celui-ci est envoyé par courrier, ou le 1 er jour ouvrable qui suit l’envoi d’un premier rappel de paiement gratuit si celui-ci est envoyé par courrier
électronique, d’intérêts moratoires au taux de 10% l’an. En outre, une indemnité forfaitaire pourra être réclamée, dans le même délai, sur base du
barème suivant : (a) Pour toute dette inférieure ou égale à 150 € : 20 € (b) Pour toute dette comprise entre 150,01 € et 500 € : 30 € majorés de 10% du
montant dû sur la tranche entre 150,01 € et 500 € (c) Pour toute dette supérieure à 500 € : 65 € majorés de 5% du montant dû sur la tranche supérieure
à 500 € avec un maximum de 2000 €.
3.8. Retard de paiement d’une entreprise – toute facture adressée par la Société à une entreprise (un non consommateur) demeurée impayée, en tout
ou en partie, un mois après son échéance, sera productive, dès l’échéance et sans qu’il soit besoin de mise en demeure, d’intérêts moratoires au taux
prévu à l’article 5 de la loi du 2 août 2022 concernant la lutte contre le retard de paiement dans les transactions commerciales. En outre, une indemnité
forfaitaire pour frais administratifs pourra être réclamée, sans mise en demeure préalable, sur base du barème ci-dessous :

- SERVICES AND DEADLINES
4.1. Accessibility - The place where the rented furniture is to be installed must be made accessible by the customer, to enable the normal performance of the services, without
danger. The customer is also responsible for removing or protecting personal belongings from rooms in the path of
Société employees. If necessary, the customer will take the necessary administrative steps to reserve a sufficient number of
parking spaces in the immediate vicinity of the equipment unloading area. Unnecessary travel expenses and excessively long waiting times
may be invoiced to the customer on the basis of an hourly rate of €50.00 per Company employee. The customer shall ensure that the Company has access, at its own expense, to
water and electricity.
4.2. Retention of title and risks - The Company retains title to the furniture it makes available to customers on a rental basis
and customers bear the associated risks. In the event of the sale of furniture and/or goods, they remain the property of the Company until full payment has been received.

payment of the price. The risks of deterioration or disappearance are borne by the customer from the time the goods are dispatched to the place of
delivery. Advance payments may be retained to cover any losses.
4.3. Delivery times - Unless explicitly stated otherwise by the Company in the offer or order form, delivery of goods takes place within 30
days of acceptance of the offer or order if the customer is a consumer. If the customer is a company, the Company undertakes to deliver
the goods within a reasonable time. Unless otherwise agreed in writing, deadlines are always calculated in working days.
4.4 Force majeure - Deadlines are in any event stipulated subject to force majeure or any other cause beyond our control. In the event of force majeure,
will be partially or totally relieved of its obligation to deliver. Force majeure includes, but is not
limited to, war, threat of war, unrest, destruction by fire or other cause, partial or
complete paralysis of traffic, judicial or governmental decisions, total or partial failure of the Company's suppliers, subcontractors or agents
to perform, strike, lock-out, disruption of internal organization or stoppage of production, bad weather or adverse climatic conditions
; frost, exceptionally wet weather, fire, flood, pandemic, as well as any event that prevents or delays
the performance of work or any other event.
- WARRANTIES AND LIABILITY
5.1. Legal consumer warranty - For a period of two years from the date of delivery, the Company guarantees, when the customer is a
consumer, the defects in conformity of consumer goods sold to the customer. Under penalty of forfeiture, the consumer customer is obliged
to inform the Company of the existence of the lack of conformity within two months of the day on which he noticed the defect.
5.2. Warranty for hidden defects - The non-consumer customer or the consumer customer after the aforementioned two-year period, may
call upon the Company's warranty due to the existence of venial hidden defects by virtue of the applicable common law. However, the
Company may only be held liable for latent defects if it is established that the furniture and goods delivered contain a defect that is not
detectable upon receipt of said furniture and goods. In this case, the action must be brought, on pain of foreclosure, no later than two
months after the customer's discovery of the defect. The intervention of the warranty is subject (i) to full payment of the Company's invoices and (ii) to
the performance of all maintenance and repair work by the Company, to the exclusion of intervention by third parties. When the quality of the goods is
called into question, the Company's liability is in any case limited to the pure and simple value of the defective goods, to the exclusion of any other
indirect damages.
5.3. Limitation of the Company's liability - The Company's liability for apparent or hidden defects in furniture and/or
goods is limited to the invoiced price of the non-conforming or defective furniture and/or goods. In all cases where the
Company's liability is established, it will be limited to the customer's direct and foreseeable damage.
5.4. Deterioration of furniture and/or equipment rented to the customer - in the event of deterioration of the furniture and/or equipment rented to the customer, the Company may claim
from the customer reimbursement - and/or withhold part of the guarantee constituted in accordance with article 3.5 where applicable - of the costs necessary for the
repair of the furniture and/or equipment or, where repair cannot reasonably be carried out, the cost of replacing the damaged furniture and/or
equipment. - END OF CONTRACT
6.1. Customer's right of withdrawal - If the contract is concluded with a consumer customer at a distance or off-premises, the latter has a
right of withdrawal of fourteen days, from the day of conclusion of the contract (or of delivery in the case of the sale of goods without installation) for
notifying that he/she withdraws from the contract. No reasons need to be given for withdrawal. Notification of withdrawal may be made by registered letter
addressed to the Company's head office, using the form attached. The Company may only begin to perform its
services once the legal 14-day withdrawal period has expired.
6.2. Right to suspend and terminate the Subscription package - the
Subscription package may be terminated by the customer without notice and without charge or damages by simply notifying the Company in writing.
6.3. Compulsory performance/cancellation/express resolutory clause - If the customer refuses, outside the right of withdrawal, to supply the goods
and/or furniture or to provide the agreed services, the Company shall be entitled to demand performance in kind of the contract. However, after
formal notice to accept delivery of the goods and/or furniture or the provision of the agreed services has remained without effect for a period of
fifteen calendar days, the Company may, without prior judicial intervention, terminate the contract to the detriment of the customer. The Company may claim, as additional
damages, an amount equal to 25% of the sale price or of the services. Reciprocally, in the event of termination of the
contract to the detriment of the Company, the customer may claim, if and only if he is a consumer, a fixed indemnity of an amount equal
to 25% of the price of the sale or services. - APPLICABLE LAW / COMPETENT COURTS
7.1. Applicable law - Any dispute relating to the validity, interpretation, performance or non-performance, termination of the agreement (as well as any
amendment and/or any rider that may be entered into during the performance of the agreement) and its consequences, shall be governed exclusively by Belgian law
.
7.2. Amicable solution - The parties shall endeavor to resolve amicably any dispute or litigation arising in connection with the performance of the
agreement.
7.3. Competent court - Failing amicable settlement, the parties shall submit their dispute to the courts of the judicial district of Hainaut,
division Charleroi.
